PROFESSIONAL STOCKIST TERMS OF SUPPLY AND USE
These Terms govern the supply and professional use of products (“Products”) by any spa, clinic, or practitioner (“Stockist”) purchasing from Ace Medicine Ltd (“Supplier”).
By purchasing, stocking, or using the Products, the Stockist confirms acceptance of these Terms.
1. Appointment
The Supplier authorises the Stockist to purchase and use the Products within their professional services, subject to compliance with these Terms.
2. Professional Standards
The Stockist agrees to:
a. Provide the highest possible standard of professional service and client care when performing treatments using the Products.
b. Follow Supplier guidance, training, and treatment protocols at all times.
c. Maintain all licences, qualifications, and insurance required to carry out professional treatments.
3. Product Use and Retail Restrictions
The Stockist agrees that:
a. Products supplied as part of a professional kit or system must not be separated or sold as individual components unless the Supplier has provided written authorisation.
b. Clients will be actively advised to follow the Supplier’s recommended aftercare guidance.
c. The Stockist will not promote, recommend, or substitute unapproved alternative products in place of the Supplier’s prescribed aftercare where treatment protocols require Supplier products for optimal outcomes.
4. Orders and Payment
a. Orders must be placed through authorised Supplier channels.
b. Payment terms are as stated on the Supplier invoice or ordering platform.
c. The Supplier reserves the right to amend pricing with notice.
5. Branding and Marketing
a. The Stockist may use Supplier branding and marketing materials solely to promote authorised treatments and Products.
b. No medical, clinical, or performance claims may be made other than those approved by the Supplier.
c. Online resale or third party marketplace resale is not permitted without written approval.
6. Territorial Exclusivity (Where Offered)
Any territorial exclusivity offered by the Supplier is conditional and performance based.
a. Exclusivity requires the Stockist to perform a minimum of 10 professional treatments per calendar month using the Products.
b. If this minimum is not met for 3 consecutive months, the Supplier may review or withdraw exclusivity.
c. If no product purchases or treatment activity occur for 6 consecutive months, exclusivity will be automatically forfeited.
d. Loss of exclusivity does not automatically terminate supply arrangements.
7. Training and Compliance
The Stockist must ensure all staff using the Products are appropriately trained using Supplier provided or approved education.
8. Intellectual Property
All trademarks, product names, treatment protocols, and materials remain the exclusive property of the Supplier. No ownership rights are transferred.
9. Liability and Responsibility
The Stockist is responsible for:
a. Proper client consultation and patch testing where required
b. Safe storage, handling, and correct professional use of Products
c. Holding valid professional and public liability insurance
The Supplier is not liable for misuse, incorrect application, or failure to follow protocols.
10. Termination of Supply
The Supplier reserves the right to suspend or terminate supply with immediate effect if the Stockist:
a. Misuses Products
b. Breaches these Terms
c. Acts in a way that may damage the Supplier’s brand or reputation
11. Confidentiality
Any non public commercial, pricing, or training information shared by the Supplier must be kept confidential.
12. Governing Law
These Terms are governed by the laws of England and Wales, and any disputes shall fall under the jurisdiction of its courts.
Acceptance of Terms
Purchase, stocking, or professional use of the Products constitutes acceptance of these Terms. The latest version will always apply and is available upon request.
